AFM
Supervision
The issue of Dutch Clean Tech Holding Bonds II is not subject to supervision by the AFM (Netherlands Authority for the Financial Markets) and/or DNB (the Dutch central bank). That does not mean there are no laws or rules that our issue must comply with. There certainly are. For example, we have a duty to inform investors clearly, transparently and fully.
Licence requirement
Under the Dutch Financial Supervision Act (Wft), alternative investment funds, also known as ‘AIFs’, are required to hold an AFM licence. Dutch Clean Tech Holding BV is not an alternative investment fund, because we do not invest the funds raised collectively on your behalf, but use them for the growth of our own business. The value of our bonds is fixed and does not fluctuate. The same applies to the interest rate. As such, Dutch Clean Tech Holding does not require a licence as a manager of an alternative investment fund under the Wft.
Prospectus requirement
Under the Wft, the bonds issued and to be issued by Dutch Clean Tech Holding BV qualify as securities. If securities are offered to the public, the issuer is required to publish a prospectus approved by the AFM, unless the issuer can rely on an exemption or exception. Dutch Clean Tech Holding BV can rely on an exception, because we offer securities with a minimum value of EUR 100,000 per investor.
